By accessing or using the swapfi.org website (the "Service") operated by Cow DAO Operations Ltd. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the terms, you may not access the Service. We reserve the right to update these Terms at any time; material changes will be posted with a revised "Last updated" date. Continued use after changes constitutes acceptance.
You must be at least 18 years old or the age of majority in your jurisdiction to use the Service. By using the Service, you represent that you have the legal capacity to enter into binding agreements. You are solely responsible for maintaining the confidentiality of any wallet addresses, credentials, or authentication methods you use. The Service is not available in jurisdictions where it would be prohibited by applicable law, including but not limited to OFAC-sanctioned countries.
swapfi.org provides a non-custodial interface that facilitates peer-to-peer token swaps via the Cow Protocol and Cow DAO smart contracts. We do not hold, custody, or control your digital assets at any time. All transactions occur directly on the Ethereum, Gnosis Chain, and other supported blockchain networks. You acknowledge that blockchain transactions are irreversible once confirmed. We do not provide investment, legal, or tax advice. The Service is provided on an "as is" and "as available" basis without warranties of any kind.
You agree not to use the Service for any unlawful purpose or in violation of any applicable laws or regulations. Prohibited activities include but are not limited to: money laundering, terrorist financing, sanctions evasion, fraud, market manipulation, or any activity that could damage the integrity of the Cow Protocol or blockchain networks. You may not attempt to interfere with, disrupt, or reverse-engineer the Service, its smart contracts, or its infrastructure. Automated access (scraping, bots) is permitted only for non-commercial, rate-limited queries that do not impose an unreasonable burden on our systems.
The swapfi.org name, logo, website design, and original content are owned by Cow DAO Operations Ltd. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our materials without prior written consent. The Cow Protocol smart contracts are open-source and licensed under GPL-3.0 or similar permissive licenses as indicated in their respective repositories. Nothing in these Terms grants you any right to use our trademarks or branding.
You are solely responsible for maintaining the security of your blockchain wallet(s), private keys, seed phrases, and any other credentials used to interact with the Service. We will never ask for your private keys or seed phrase. Any transaction you authorize via your wallet is your sole responsibility. You acknowledge that blockchain transactions cannot be reversed or cancelled once submitted. You must ensure that you have sufficient network fees (gas) to complete transactions on the relevant blockchain. We are not liable for any loss resulting from unauthorized access to your wallet, user error, or network congestion.
Using the swapfi.org interface is free of charge; we do not charge additional platform fees for executing swaps. However, you are responsible for all network transaction fees ("gas fees") required by the underlying blockchain, as well as any fees imposed by the Cow Protocol smart contracts (e.g., solver fees, protocol fees as determined by Cow DAO governance). All fees are denominated in the native token of the relevant blockchain or in the tokens being swapped. You acknowledge that fees may fluctuate based on network conditions and protocol parameters. We do not control or profit from these fees.
The Service may contain links to third-party websites, applications, or resources (e.g., block explorers, analytics tools, wallet providers). We do not endorse or assume responsibility for the content, privacy practices, or terms of any third party. Your interactions with third parties are solely between you and them. We are not liable for any loss or damage arising from such interactions. The inclusion of any link does not imply affiliation or endorsement by Cow DAO Operations Ltd.
To the maximum extent permitted by applicable law, Cow DAO Operations Ltd., its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Service. This includes, without limitation, damages resulting from: (a) errors, omissions, or interruptions in the Service; (b) unauthorized access to or alteration of your transmissions or data; (c) statements or conduct of any third party; (d) any bugs, viruses, or other harmful code transmitted through the Service; or (e) any loss or damage of any kind incurred as a result of your use of the Service. Our total aggregate liability for any claim arising under these Terms shall not exceed the greater of $100 USD or the total fees paid by you to us in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements. You understand that blockchain technology, including smart contracts and decentralized protocols, carries inherent risks including but not limited to software bugs, economic attacks, and network forks. You assume all such risks.
You agree to indemnify, defend, and hold harmless Cow DAO Operations Ltd., its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your infringement of any third-party rights, including intellectual property or privacy rights; or (d) any content or data you submit, transmit, or make available through the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
We reserve the right, in our sole discretion and without prior notice, to suspend, terminate, or restrict your access to the Service if we reasonably believe that you have violated these Terms, engaged in prohibited activities, or if required by applicable law or regulatory authority. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability. You may discontinue use of the Service at any time without notice to us.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, to be held in New York County, New York. The arbitration shall be conducted by a single neutral arbitrator, and judgment on the award may be entered in any court having jurisdiction. You agree that any claim must be brought in your individual capacity and not as a class action, consolidated action, or representative proceeding. If the class action waiver is found to be unenforceable, then the entirety of this dispute resolution provision shall be null and void. Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights or confidential information.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be reformed to the minimum extent necessary to make it valid and enforceable while reflecting the original intent of the parties.
These Terms, together with our Privacy Policy (available at /privacy-policy), Cookie Policy (available at /cookie-policy), and any other legal notices published on the Service, constitute the entire agreement between you and Cow DAO Operations Ltd. regarding your use of the Service and supersede all prior agreements and understandings, whether written or oral. Any terms or conditions proposed by you in any communication that are inconsistent with these Terms are expressly rejected and shall be of no force or effect.
